CLIENT SERVICE AGREEMENT
This Client Service Agreement (“Agreement”) is entered into between Samantha Lotus Consulting Inc. (“Company”) and the undersigned client (“Client”).
By purchasing services, enrolling in programs, or signing this Agreement, the Client agrees to the following terms governing participation in services provided by Samantha Lotus Consulting Inc.
Services
Samantha Lotus Consulting Inc. agrees to provide consulting, advisory, coaching, and educational services to the Client.
Services may include but are not limited to leadership advisory, business consulting, health optimization consulting, personal development coaching, group masterminds, consulting engagements, educational programs, workshops, retreats, and other strategic advisory services.
The specific services purchased by the Client will be outlined in the invoice, enrollment page, or program description accepted by the Client.
Nature of Services
The Company provides consulting, education, and strategic advisory services designed to support the Client in developing leadership, business, personal development, and wellness strategies.
The Client understands that results depend on many factors including personal responsibility, implementation, timing, and external circumstances. No guarantees of results, financial outcomes, business growth, or health improvements are made.
The Client remains fully responsible for their decisions, actions, and results.
Health and Wellness Disclaimer
Certain services may include discussions related to health optimization, nutrition, lifestyle practices, and human performance.
The Client understands that:
• Samantha Lotus and team members are not medical doctors
• services provided are educational and informational
• no diagnosis, treatment, or medical advice is being provided
The Client agrees to consult a qualified healthcare provider before making any health-related decisions including dietary changes, supplementation, exercise protocols, or lifestyle modifications.
Nothing provided by Samantha Lotus Consulting Inc. is intended to diagnose, treat, cure, or prevent any disease.
Payment Terms
The Client agrees to pay all fees associated with the services purchased as outlined in the invoice or payment plan.
Payments must be made according to the agreed payment schedule. Failure to complete payments may result in suspension or termination of services and removal from programs, communities, or advisory engagements.
All fees are listed in the currency indicated on the invoice.
Refund Policy
All purchases made with Samantha Lotus Consulting Inc. are final and non-refundable.
Due to the nature of consulting, coaching, advisory, and educational services, the Company does not offer refunds, partial refunds, credits, or transfers once payment has been made or access to services has been granted.
By entering into this Agreement and submitting payment, the Client acknowledges and agrees that they are committing to the services purchased and that no refunds will be issued under any circumstances including but not limited to:
• non-participation
• scheduling conflicts
• change of mind
• personal circumstances
• perceived lack of results
Access to services, consulting time, advisory support, educational materials, or communities constitutes delivery of services.
Payment Plan Commitment
If the Client elects to use a payment plan, the Client agrees to complete all remaining payments according to the agreed schedule.
Payment plans represent a commitment to the full program or service investment and are not a monthly subscription that may be cancelled.
Failure to complete payments may result in suspension of services and collection of outstanding balances.
Chargeback and Payment Disputes
The Client agrees not to initiate a chargeback or payment dispute with their bank, credit card provider, or payment processor without first attempting to resolve the matter directly with Samantha Lotus Consulting Inc.
If a chargeback or dispute is initiated in violation of this Agreement, the Company reserves the right to immediately terminate services and pursue recovery of outstanding balances, administrative costs, legal fees, and collection expenses.
Personal Responsibility and Assumption of Risk
The Client acknowledges that participation in consulting, coaching, advisory, and educational services involves personal responsibility.
The Client accepts full responsibility for their choices, actions, and outcomes before, during, and after participation in services provided by Samantha Lotus Consulting Inc.
The Client expressly assumes all risks associated with participation in the services.
Confidentiality
The Company respects the privacy of its clients and agrees to treat personal information shared during consulting or coaching sessions with discretion.
Clients participating in group programs or communities agree to maintain the confidentiality of other participants and not disclose private discussions or personal information outside the program environment.
Intellectual Property
All materials provided by Samantha Lotus Consulting Inc., including frameworks, processes, systems, written materials, presentations, recordings, videos, and educational resources, remain the intellectual property of the Company.
The Client is granted a limited license for personal educational use only.
The Client agrees not to reproduce, distribute, publish, sell, teach, license, or otherwise use these materials for commercial purposes without written permission from the Company.
Unauthorized use or distribution of proprietary materials may result in legal action.
Confidential Information
The Client agrees to hold confidential any proprietary information, strategies, systems, or materials provided by Samantha Lotus Consulting Inc.
The Client agrees not to disclose or distribute confidential information without written consent from the Company.
Non-Solicitation
The Client agrees not to solicit, recruit, or hire employees, contractors, consultants, or team members associated with Samantha Lotus Consulting Inc. during the term of services and for twelve (12) months following completion of services.
Community Standards
Clients participating in group programs or communities agree to maintain a respectful and professional environment.
Samantha Lotus Consulting Inc. reserves the right to remove any participant who behaves in a disruptive, abusive, or harmful manner toward other participants or the Company.
Removal due to violation of community standards does not entitle the Client to a refund.
Non-Disparagement
The Client agrees not to make false, misleading, or defamatory statements regarding Samantha Lotus Consulting Inc., its programs, or its representatives.
If concerns arise, the Client agrees to communicate directly with the Company so that the matter may be addressed constructively.
Limitation of Liability and Release
To the fullest extent permitted by law, the Client agrees to release, indemnify, and hold harmless Samantha Lotus Consulting Inc., Samantha Lotus, and all employees, contractors, agents, and affiliates from any and all claims, damages, losses, liabilities, or causes of action arising from participation in services.
Participation in services is voluntary and the Client assumes full responsibility for their actions and decisions.
Termination
The Client may terminate participation in services with written notice. However, the Client remains financially responsible for the full cost of the program or service.
The Company reserves the right to terminate services if the Client violates the terms of this Agreement or behaves in a disruptive or harmful manner.
Termination of services does not entitle the Client to a refund.
Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the matter through direct communication.
If resolution cannot be reached, disputes shall be submitted to binding arbitration before a single arbitrator agreed upon by both parties.
Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Province of British Columbia, Canada.
Entire Agreement
This Agreement represents the entire agreement between the Client and Samantha Lotus Consulting Inc.
No prior discussions, representations, or verbal agreements shall modify the terms of this Agreement unless confirmed in writing by both parties.
Acceptance
By purchasing any services, you agree to these terms.
